Terms and Conditions of Use

These Terms and Conditions of Use define the legal framework governing access to and use of the Bernstein.io digital platform (the "Platform").

The Platform is published and operated by IP LEVERAGED SAS, a simplified joint-stock company incorporated under French law, with registered office in Strasbourg, France (hereinafter "Bernstein" or the "Company").

These Terms are governed by French law. In the event of any discrepancy between the English and French versions, the French version shall prevail.

Access to and use of the Platform imply full and unconditional acceptance of these Terms by any individual or legal entity using the Platform (the "User").

Purpose and Nature of the Services

The Platform provides Users with a digital infrastructure designed to enable:

• documentation and organisation of digital content;
• generation of digital certificates ("certificates");
• technical timestamping of content;
• registration of digital fingerprints on decentralised networks;
• use of certification units ("credits").

For the purposes of these Terms, "certification" exclusively refers to a technical process consisting of recording, at a given point in time, the digital fingerprint of content on a decentralised network such as the Bitcoin blockchain (Bitcoin node chain) or on third-party timestamping platforms, whether qualified or non-qualified under applicable regulations.

Certification constitutes a technical recording and dating mechanism. It shall not be construed as:

• an authentic instrument;
• an administrative certification;
• validation by a public officer;
• registration with an intellectual property office;
• official or institutional recognition.

Certification does not grant any intellectual property rights, does not constitute legal registration of rights, and does not amount to conclusive legal proof. Its legal effect depends on applicable law and the sovereign assessment of competent courts.

The Company acts solely as a technical service provider and does not provide legal, tax, or regulatory advice.

Access and Account Creation

Use of the Platform requires prior creation of a personal or professional account.

The User undertakes to provide accurate and up-to-date information. The creation of fictitious or misleading accounts is prohibited.

The Company may suspend or delete accounts in the event of breach of these Terms or fraudulent behaviour.

The User remains solely responsible for safeguarding login credentials and encryption passphrases.

User Content

The User retains full ownership of content uploaded via the Platform.

The User warrants that such content does not infringe third-party rights or violate applicable law.

Due to the technical architecture implemented, the Company does not access content in unencrypted form.

Financial Conditions - Certification Units and Subscriptions

Certain functionalities of the Platform are subject to payment. The following conditions apply:

• each certification unit allows the generation of one certificate for a specific project version;
• certification units are consumed upon use and are non-refundable once used;
• recurring contractual arrangements may be offered under subscription terms described on the Platform;
• prices are expressed in euros and exclusive of taxes.

The Company reserves the right to modify its pricing terms, subject to informing Users within a reasonable timeframe. Failure to pay may result in suspension of access to the relevant functionalities.

White-Label Services

The Company may offer "White-Label" versions of the Platform, allowing professional partners to operate a co-branded or customised version.

White-Label instances:

• are technically operated and hosted by Bernstein;
• remain legally operated under the Company's infrastructure;
• may incorporate the partner's visual identity while relying on Bernstein's technical architecture.

The White-Label partner remains responsible for its contractual relationship with its end users, subject to the specific agreements entered into with the Company.

Use of a White-Label instance does not alter the technical nature of certifications or the limitations of liability set forth herein.

Availability

The Company uses reasonable means to ensure continuity of service but does not guarantee uninterrupted availability.

No Warranty

The Platform is provided as is.

The Company does not guarantee suitability for specific purposes or systematic recognition by authorities or courts.

Liability

To the extent permitted by law, the Company shall not be liable for indirect damages, financial losses, loss of profits, or data loss attributable to the User.

Total liability shall be strictly limited to the amounts paid by the User during the twelve months preceding the event giving rise to liability.

Intellectual Property

The Platform and all its components remain the exclusive property of the Company.

Personal Data

Personal data are processed in accordance with applicable regulations and the Privacy Policy.

Governing Law and Jurisdiction

These Terms are governed by French law.

Any dispute shall fall within the exclusive jurisdiction of the courts of Strasbourg, France.
